Dividends represent one form of profit distribution from the company to shareholders based on the net profit obtained in the respective financial year (after deducting reserves) and can only be distributed if the company has a positive profit balance, namely the net profit of the company in the respective financial year after deducting the accumulated losses of the company from previous financial years.
The Bank distributes dividends based on the provisions of regulations applicable in Indonesia, especially those related to the capital market, stock exchanges, taxation provisions, and banking regulations, and they must be approved by the shareholders in the Annual General Meeting of Shareholders (AGMS).
In accordance with the Financial Services Authority of the Republic of Indonesia Regulation No. 17 of 2023 regarding the Implementation of Governance for Commercial Banks and in order to improve the management of shareholders’ rights in the implementation of Dividend Distribution, the Bank has an Internal Policy regarding Dividend Distribution, as stipulated in the Board of Directors Regulation No. PER.DIR.2024.001/DIRCOMPLIANCE regarding “Guidelines for the Process and Mechanism of Payment of Dividends to Shareholders,” so that the Dividend Distribution of the Bank to the Shareholders can be carried out in accordance with applicable laws and regulations and guided by good governance for the Bank, while still considering the interests of the Bank. This Board of Directors Regulation contains implementation guidelines for activities related to the Bank’s Dividend Distribution to Shareholders, with the aim of ensuring that these activities can be carried out more effectively, accountably, organized, and timely, in compliance with applicable regulations.The Board of Directors Regulation No. PER.DIR.2024.001/DIR COMPLIANCE regarding "Guidelines of the Process and Mechanism of Payment of The Company’s Dividend to Shareholders" has been communicated to Shareholders and is available in the Bank’s website
